Corporate Counsel – Governance & M&A

Role: Corporate Counsel
Location: Houston, TX (5 days on-site)
Compensation: $140,000–$200,000 base + STI + benefits

A privately held, growth-oriented oil & gas company is seeking a Corporate Counsel to join its Houston legal team

Reporting to senior legal leadership, this role offers broad exposure to M&A, strategic transactions, corporate governance, financing matters, and entity management. The successful candidate will work closely with legal, finance, treasury, tax, and business stakeholders on a variety of high-impact corporate matter

Key responsibilities include:
• Supporting acquisitions, divestitures, joint ventures, and other strategic transactions from diligence through closing and integration
• Assisting with corporate governance, entity management, and corporate secretarial matters across multiple jurisdictions
• Supporting financing transactions, lender requests, and regulatory diligence processes
• Coordinating with internal stakeholders and external counsel on transactional and structural projects

Requirements:
• J.D. and active U.S. bar admission
• 5+ years’ experience in-house and/or private practice
• Experience with M&A, corporate transactions, financing matters, or corporate governance
• Strong drafting, organizational, and stakeholder management skills
• Ability to operate effectively in a fast-paced, commercial environment
