About the Role:
H&P Executive has been mandated by a leading BigLaw multinational US law firm, seeking a Private Equity Fund Formation Partner to join its investment funds practice. This role is ideal for a partner or senior lawyer with deep expertise in Private Equity, fund formation, regulatory matters, secondaries and the full lifecycle of private investment vehicles. The firm offers a strong national (and international) platform, established sponsor relationships, and the opportunity to scale an existing and well-recognized growing practice.
Our client is a US multinational law firm with a recognised Private Equity and private funds practice. The team advises a broad range of asset managers, from emerging sponsors to global multi-strategy platforms. The practice continues to grow, driven by strong LP relationships, cross-practice collaboration, and increased demand across the private capital landscape.
The Partner – Private Equity Fund Formation will advise on the launch, structuring, and operation of private equity funds across buyout, growth equity, and sector-specific strategies. The position can be based in Chicago or New York, with flexibility for Boston, Washington or Dallas for exceptional candidates.
Key responsibilities:
Lead the formation and structuring of Private Equity funds, growth equity vehicles, securities and related investment platforms
Advise on market terms, investor negotiations, and fundraising processes
Manage regulatory and compliance matters, including SEC considerations and marketing rules
Structure co-investment vehicles, SPVs, SMAs, and continuation fund solutions
Work closely with tax, regulatory, and transactional teams to support sponsors
Build and develop client relationships, contributing to the strategic growth of the Private Equity funds practice
Support emerging managers and established sponsors through fund launches and ongoing operations
What you bring:
At least eight years’ experience in Private Equity fund formation or broader private funds work
Strong background advising sponsors or institutional investors
Demonstrated experience with fund structuring, investor negotiations, securities and regulatory matters
Exposure to secondaries or GP-led transactions is advantageous
Portable relationships are preferred, but not strictly required for the right profile
J.D. (or LLM) and admission to the bar in the named US jurisdictions
